1. Acceptance and Scope:
1.1. Scope of Services
XP Software provides comprehensive services to individuals and businesses engaged in global e-commerce. These services include website design, photography and video, A+ content and media management, accounting, marketplace management, multi-channel fulfillment (MCF), and social media management. Logistics and supply services will be subject to a separate agreement
1.2. Acceptance of Agreement
By using XP Software’s services, you agree to be bound by these Terms. If you do not agree to these Terms, you should not continue to use our services.
2. Use of Services
2.1. User Accounts
To use the services, you must create a user account. User information must be accurate, complete, and up to date. You are responsible for maintaining the security of your account.
2.2. Subscription Plans
XP Software offers various subscription plans to customers. The standard subscription plan is provided at an initial fee of 1,799 USD for the first month, and 699 USD per month for the following 11 months. The subscription period is 12 months, and the use of services is subject to the terms of the subscription plan.
2.3. Subscription Cancellation
If the customer cancels the agreement before the 12-month term is complete, the customer is required to pay the remaining months' subscription fees. Additionally, a 5% commission will be applied on sales managed by XP Software for 12 months after cancellation.
3. Fees and Payment Terms
3.1. Fees
The prices for XP Software services are listed on our website or specified in the agreement. Subscription fees are paid monthly. Additional services, such as logistics and supply, are billed separately.
3.2. Payment Terms
Invoices will be issued at the beginning of each month, and payments must be made within 7 days of the invoice date. Failure to make payments may result in service suspension.
3.3. Commissions
XP Software charges a 10% commission on customer sales. Additionally, a 4% commission is applied on the ROI from advertisement spending managed through the XP platform.
4. Logistics and Supply
Logistics and supply services are not covered under these Terms and will require a separate agreement.
5. Intellectual Property Rights
5.1. Trademarks and Content Rights
XP Software owns or holds the rights to all content and trademarks used on its website and services. Copying, distributing, or modifying these materials is prohibited.
5.2. Customer Content
Intellectual property rights to content uploaded by customers remain with the customer. However, XP Software retains the right to use and process this content in order to provide services.
6. Liability Disclaimer and Warranties
6.1. Service Interruptions
XP Software does not guarantee uninterrupted service. The company is not liable for service disruptions due to technical issues, maintenance, or other reasons.
6.2. Warranty Limitations
XP Software does not guarantee that its services or products are fit for any specific purpose. In case of errors, omissions, or delays, liability is limited to the refund of fees paid.
7. Cancellation and Termination
7.1. Subscription Cancellation
Customers may cancel their subscription at any time if they are dissatisfied with the service. However, early termination fees apply as stated above.
7.2. Service Suspension or Termination
XP Software reserves the right to suspend or terminate services in case of non-payment or violation of these Terms.
8. Privacy Policy
Customer data is confidential and will not be shared with third parties. Data is used solely for service provision. For more information, please refer to our Privacy Policy.
9. Modifications
XP Software reserves the right to modify these Terms at any time. Changes will be posted on the website and communicated to customers. Continued use of services after modifications constitutes acceptance of the revised Terms.
10. Dispute Resolution
Any disputes arising from these Terms will be resolved in the courts of Newark, Delaware. The parties agree to make every effort to resolve disputes amicably before taking legal action.
